TSYS Acquires Clarity Payment Solutions

TSYS Prepaid Positioned to Emerge as Leading Global Processor

New York City and Columbus, Ga., August 3, 2004 - TSYS announced today that it has acquired Clarity Payment Solutions, Inc. (Clarity), for $53 million in cash. Clarity is a leading provider of prepaid card solutions that utilize the Visa^®, MasterCard^®, EFT and ATM networks for Fortune 500 companies as well as domestic and international financial institutions. TSYS will combine its prepaid products with Clarity's to offer a comprehensive prepaid platform. Anil D. Aggarwal will remain the chief executive officer of the new entity, which will be named TSYS Prepaid, Inc.

Clarity provides a dynamic, data-driven processing platform that integrates real-time administration and reporting tools, sophisticated marketing and communications technologies, and leading compliance and risk management systems, as well as other unique capabilities that are vital to processing for the prepaid market. These features complement the processing systems and global expertise of TSYS, making it possible for TSYS Prepaid to offer highly cost-effective and fully integrated prepaid solutions.
